1. Introduction

Welcome to Le Orano!

Le Orano is a private travel and lifestyle club that offers benefits such as travel-related amenities, offers, awards, and services (“Services“) to subscribing individuals like you (“you” or “Members“). These Membership Terms are between you and Le Orano, Inc. (“Le Orano,” “we,” “our,” or “us“) and establish the terms under which Le Orano or any of its affiliates provides the Services. Your use of the Le Orano websites and mobile properties (collectively referred to as the “website“) and Le Orano Membership are also governed by the Le Orano Term of Service, as well as the Privacy Policy (as each may be revised from time to time) referred to further on in this Introduction (collectively, the Le Orano Term of Service and the Privacy Policy shall be referred to as the “Additional Terms“) and which are incorporated herein by reference. If anything contained in the Additional Terms conflicts with the Membership Terms, the Membership Terms will control with respect to the Le Orano program. Any capitalized terms not defined in these Membership Terms shall have the meanings given to them in the Le Orano Term of Service. By signing up for a Le Orano membership or purchasing a Product (see below), you accept these Membership Terms (as may be revised from time to time), and you represent that you have read and understand them.

These Membership Terms, along with the Additional Terms, govern your relationship with us with respect to your use of the Services, including your purchase on the Le Orano platform (“Booking“) of any eligible accommodation, tour, ticket, attraction, activity, or experience, or any additional benefit or privilege associated with any of the foregoing (a “Perk“) that is advertised on the website in connection with Le Orano and is made available by or through a third-party supplier (each, a “Product“). Note that a third-party supplier in this context may be an affiliate of Le Orano (for example, Lion Travel Service Co., Ltd., as further described in Section 14). In all Booking arrangements, the person making the Booking shall be deemed to have accepted these Membership Terms on behalf of all the persons named (or included in any way) in your Booking.

THESE MEMBERSHIP TERMS ALSO INCLUDE, AMONG OTHER THINGS, A CLASS ACTION WAIVER. PLEASE REFER TO SECTION 12 BELOW FOR MORE INFORMATION.

2. Membership Registration

Le Orano membership is available to individuals only. To take advantage of the benefits offered by the Le Orano program and utilize specific features on the website, individuals must become Members. Other entities or parties, including but not limited to corporations, travel agencies, government entities, and regulatory bodies, are not eligible to enroll as Members or receive any benefits in connection with the Le Orano program.

To register and create a Le Orano account, each Member must provide certain requested information. In certain circumstances involving changes to information in a Member’s Le Orano account, such as name changes, Le Orano may require supporting legal documentation.

Travel-related information will be maintained in the Member’s Le Orano account. Any information provided by a Member must be valid, accurate, and up-to-date at all times.

By booking or otherwise accepting any Le Orano Services and/or Products, a Member acknowledges and understands that some or all of their information, including contact information, will be shared with participating Le Orano Suppliers (as defined in Section 13 and including, for example, payment providers and participating hotels) and processed according to their data policies. This sharing is generally pursuant to written agreements that include confidentiality, privacy, and security obligations. However, Members understand that Le Orano does not control the privacy practices of these third-party Suppliers. If a Member has any questions about Le Orano’s collection, use, or disclosure of a Member’s data, they should consult the Privacy Policy.

3. Eligibility

Subject to these membership Terms, a Le Orano membership is available to any individual who:

(a) agrees to these membership Terms;

(b) possesses the legal authority to agree to these membership Terms;

(c) resides in a jurisdiction which legally permits participation in Le Orano;

(d) is not named on any list, or update thereto, issued by the U.S. Office of Foreign Assets Control (“OFAC”) pursuant to Executive Order 13224 or the President, including the “Specially Designated National and Blocked Person List”, or similar lists or orders from other countries that we deem are applicable, including without limitation, any resident of Cuba, Iran, North Korea, Sudan, Syria, or the Crimea region of Ukraine or any other country subject to economic or trade sanctions by the U.S. State Department or U.S. Treasury Department’s Office of Foreign Assets Control;

(e) provides valid and accurate personal information when enrolling in Le Orano; and

(f) has not previously been terminated from Le Orano or any other Le Orano Services.

Members are responsible for reading and understanding these membership Terms, as well as the Additional Terms, and any other communications from Le Orano about the Le Orano program in order to understand their rights, responsibilities, and status in regards to it.

By accepting any Le Orano Services and/or Products, a Member acknowledges that they are responsible for determining whether they are eligible to receive, and further acknowledges that they are indeed eligible to receive, such Le Orano Services and/or Products under all applicable laws, gift policies, incentive policies, and any other governmental requirement. Each Member must immediately notify Le Orano if they are not eligible to receive any Services at any time.

Please note that certain benefits associated with the Le Orano Services, such as Le Orano Rewards, may be subject to additional eligibility criteria. Such eligibility criteria are set forth in the terms governing the specific benefit below and any additional terms displayed through the Services and applicable to such benefit.

4. Canceling Your Le Orano Membership

Your Le Orano membership will continue until you or we cancel it. You may cancel your membership at any time by signing into your Le Orano account and selecting the membership termination option.

• Standard Cancellation Policy: If you cancel your membership within seven (7) days of your Initial Payment Date and have not made any Bookings, have made Bookings for future reservations which have not yet started and been confirmed, or have started one or more Bookings but have not set up a credit card or wallet provider account or received any Le Orano Rewards related to those Bookings, you are eligible for a refund of your annual membership fee. If you have made Bookings for future reservations which have not yet been completed, you will need to forfeit any pending Le Orano Rewards and/or cancel those Bookings to qualify for a refund. Contact Le Orano Customer Support for more details. Refunds will be for the amount you paid for your annual membership fee, excluding any coupon codes, promo codes, or similar discounts applied towards the fee. After cancellation, you will not have access to Le Orano Services. If you cancel outside of the initial seven (7) day period or do not meet any of the qualifications for a refund, you will not be eligible to receive any refund and will continue to have access to Le Orano until the end of your current membership term. Your Le Orano membership will not, however, be automatically renewed for any future membership term. Please note that any Bookings you have already made will not be canceled automatically, and your ability to cancel a Booking will depend on the Supplier’s terms and conditions.
• Free Trials: Bookings made during a free trial period will not be canceled if you do not enroll in a subsequent membership term. Free trials are subject to the terms of the offer. If your free trial converts into a paid membership, you must cancel the membership before the end of the trial period to avoid charges.
• Bundled Offers, Third-Party Enrollment, and Gift Cards: If you enroll in Le Orano through a Bundled Offer or an offer from a third-party partner, you may opt out of automatic renewal at any time. If you enroll in Le Orano using a gift card, your membership will only renew if you elect to renew and provide payment information. In any of the above scenarios, you may not cancel your Initial membership Term and are not eligible for a refund of your membership fee. However, upon canceling automatic renewal, you will continue to have access to Le Orano until the end of your current membership term. Bundled Offers and gift cards used to pay for a Le Orano membership may not be combined with any other promotional offers or discounts. If the partnership between Le Orano and a third-party partner providing the membership bundle ends, our partners and we reserve the right to terminate affected Members’ auto-renewal.

In certain situations, we may require you to cancel a Booking you have made, such as if you wish to cancel your membership within the refund period following your Initial Payment Date but have an existing Booking scheduled for the future. In this case, you will need to forfeit any pending Le Orano Rewards or cancel any such future Booking(s) to be eligible for a refund of your membership fee.

If you cancel your Le Orano account, your membership will also be canceled with no refund. You may resubscribe to Le Orano at any time, but we reserve the right not to permit re-membership.

5. Other Limitations

● In addition to termination or suspension as described herein, we reserve the right to accept or refuse membership requests at our sole discretion. If we refuse a membership request, any payments processed for such request shall be refunded.

● We may send you emails and other communications related to the Le Orano program, your Le Orano membership, Le Orano Rewards, and/or any bookings made in connection with them, as long as these messages are of a service or transactional nature. This applies regardless of any marketing communication preferences you specify in your account settings.

● You may not share, transfer, or assign your Le Orano membership or any services, except as allowed in these membership Terms.

● Members are only permitted to use the Services or purchase Products for their individual use. They are not allowed to resell or rent them.

● Le Orano may choose to add or remove Le Orano membership benefits at its sole discretion. This is discussed further in Section 8 (Modification of Terms) below.

● Le Orano reserves the right to monitor the accounts of all Members at any time and without notice, to ensure compliance with these membership Terms.

● As described in further detail in Section 10 (Termination by Us) below, Le Orano reserves the right to terminate or suspend access to your Le Orano account, your Le Orano membership, or your ability to use the Services.

6. Fees and Renewal

Membership Plans and Fees

The current membership fees and other details of the Le Orano program are available in the Member Center. In your Le Orano account, you can find information about the membership model you are subscribed to, the applicable membership fee, and the next payment due date. Taxes may apply to the membership fee.

Billing Cycle

Your membership will start on the date your Payment Method (credit card, debit card, or other eligible payment method) is charged successfully (“Initial Payment Date”) and will continue for one (1) year (“Initial Membership Term”). After that, your membership will renew annually on the anniversary of your Initial Payment Date (“Annual Payment Date”) for subsequent one-year renewal terms (each, a “Membership Renewal Term”) unless and until cancelled as provided herein. The Initial Membership Term and any Membership Renewal Term(s) are collectively referred to as the “Membership Term”. Note that in certain cases, Le Orano may be unable to charge your Payment Method exactly on the Annual Payment Date (for example, in the event of payment systems availability issues); in such cases, Le Orano will attempt to charge your Payment Method as soon as possible thereafter.

Payment Methods

By initiating your first membership fee payment, you authorize Le Orano to charge your Payment Method for recurring membership fees and any taxes on an ongoing basis. You may be able to stop payment of any scheduled recurring payment by notifying the issuer of your Payment Method or your financial institution. However, Le Orano may continue to charge you for that payment and for other recurring payments until you cancel your Le Orano membership in accordance with Section 4 (Canceling Your Le Orano membership) above. You can update your Payment Method from within your Le Orano account. Please note that Le Orano is not responsible for any fees or charges applied by your financial institution or Payment Method issuer related to Le Orano’s processing of your membership fee payment.

If you purchased Le Orano via a Bundled Offer, you are responsible for ensuring that the Account Management Center reflects your preferred Payment Method for Le Orano to charge for the recurring membership fees and any taxes on an ongoing basis; this may be, but is not required to be, the same Payment Method that you used for the transaction through which you received the Bundled Offer.

UNLESS YOU NOTIFY US OF YOUR DESIRE TO CANCEL YOUR MEMBERSHIP (IN ACCORDANCE WITH SECTION 4 ABOVE OR BY CONTACTING LE ORANO CUSTOMER SERVICE), YOU UNDERSTAND THAT YOUR MEMBERSHIP WILL AUTOMATICALLY CONTINUE AND YOU AUTHORIZE LE ORANO TO AUTOMATICALLY CHARGE YOUR SELECTED PAYMENT METHOD FOR THE AMOUNT OF YOUR MEMBERSHIP FEE AND ANY TAXES FOR THE MEMBERSHIP RENEWAL TERM.

UPON RENEWAL OF YOUR MEMBERSHIP, IF LE ORANO DOES NOT RECEIVE PAYMENT FROM YOU, YOU AUTHORIZE US TO (A) CHARGE ANY OTHER PAYMENT METHOD WE HAVE ON FILE IN YOUR LE ORANO ACCOUNT AND/OR (B) CONTINUE ATTEMPTING TO CHARGE YOUR ORIGINAL PAYMENT METHOD UNTIL SUCH TIME AS PAYMENT IS RECEIVED. YOU REMAIN RESPONSIBLE FOR ANY UNCOLLECTED AMOUNTS. IF A MEMBERSHIP FEE PAYMENT IS NOT SUCCESSFULLY SETTLED, DUE TO EXPIRATION, INSUFFICIENT FUNDS, OR OTHERWISE, AND YOU DO NOT CANCEL YOUR MEMBERSHIP IN ACCORDANCE WITH SECTION 4 ABOVE, WE MAY CANCEL OR SUSPEND YOUR MEMBERSHIP UNTIL WE HAVE SUCCESSFULLY CHARGED A VALID PAYMENT METHOD. WHERE LE ORANO TERMINATES OR SUSPENDS YOUR MEMBERSHIP DUE TO FAILURE TO MAKE A PAYMENT WHEN DUE, LE ORANO MAY, UPON RECEIPT OF ALL OUTSTANDING PAYMENTS DUE, REACTIVATE YOUR ACCOUNT FOR THE APPLICABLE MEMBERSHIP RENEWAL TERM.

No Refunds

Membership fees for Le Orano are non-refundable except as otherwise expressly described in these membership Terms.

Price Changes

Le Orano may change membership prices, including recurring membership fees and any other fees applicable to your Le Orano membership, from time to time. Le Orano will inform you of any price changes in advance, including the effective date of such changes, and, if applicable, how to accept those changes. Subject to applicable law, you accept the new price by continuing to use or otherwise receive the benefits or potential benefits of the Le Orano program after the price change effective date; provided that, you may always reject the price change by canceling your Le Orano membership prior to your Annual Payment Date as described in Section 4 (Canceling Your Le Orano membership) above.

If your Annual Payment Date occurs less than thirty (30) days after Le Orano has provided you with notice of a price increase, you may cancel your Le Orano membership for an additional forty-five (45) days following your Annual Payment Date and Le Orano will refund the newly charged membership fee. Note that Le Orano’s responsibility to provide you with a refund in such situations (as opposed to simply canceling the auto-renewal) is conditioned upon Le Orano actually having received payment from you.

7. Le Orano Rewards

Le Orano Rewards Program

We offer Members the ability to earn or accumulate rewards (“Le Orano Rewards”) on certain Bookings that are labeled or identified on our website as eligible for Le Orano Rewards. Le Orano Rewards Offers may vary by Booking, depending on factors such as the price of the Booking or the length of stay. Not all Bookings will necessarily qualify for Le Orano Rewards. Once earned, Travel Credit may be redeemable as cash, subject to certain conditions set forth in the applicable Le Orano Rewards Offer and in these Terms.

Le Orano reserves the right to designate, develop, or select eligible Le Orano Rewards Offers for particular Bookings and to allocate any amount of Le Orano Rewards thereto. Any questions relating to applicability or value of a particular Le Orano Rewards Offer will be resolved by Le Orano in its sole discretion.

If your actions are found to be in violation of these terms, or if you engage in illegal, deceptive, or fraudulent behavior, or in any other way compromise the integrity of these Terms, Le Orano may choose to render some or all of your Credits invalid. Additionally, if you choose to cancel your membership, all Le Orano Rewards, including any travel credits, will be voided.

Le Orano Rewards Requirements

To be eligible to receive Le Orano Rewards, you are required to: (i) be a Member in good standing, including by agreeing to these membership Terms and Additional Terms, providing a valid and functional email address that you own, and making any applicable annual membership payments for Le Orano; (ii) make and pay for a Booking with a Le Orano Rewards Offer; (iii) commence and have the Booking confirmed by the relevant Supplier. For the avoidance of doubt, you must have a valid, active Le Orano membership both on the date that you make the Booking and the date that you check-in and the Supplier confirms your Booking to qualify for the relevant Le Orano Rewards Offer.

If the above requirements are met, Le Orano Rewards will be distributed to a Member’s account shortly after the Member has checked-in and Supplier has confirmed an accommodation Booking with a Le Orano Rewards Offer, or the Member has completed an experience Booking with a Le Orano Rewards Offer. Le Orano Rewards remain pending and are not earned until such time as all eligibility criteria have been met. If you fail to meet these requirements within 180 days of the date you commence a Booking with the relevant Le Orano Rewards Offer, the Le Orano Rewards associated with that Le Orano Rewards Offer will be considered abandoned, and you will no longer be eligible to transfer them to cash or otherwise redeem them.

Bundled Offers

Depending on which Bookings you make, Le Orano may give you the option to (a) use some or all of the Le Orano Rewards associated with a hotel Booking to cover the cost of your Initial membership Term or (b) receive your Initial membership Term at no cost if you make an eligible experience Booking (in each instance, a “Bundled Offer”). Le Orano is under no duty or obligation to provide you with Bundled Offers and does so at its own discretion.

Redeeming Le Orano Rewards

Once all eligibility criteria are met, Le Orano Rewards are accrued in the form of Travel Credits or points that can be converted into partner airline miles or hotel group loyalty points. These Rewards are managed by third-party suppliers and applied to a specified Redemption Option. Le Orano may change third-party suppliers or Redemption Options from time to time at our sole discretion.

Le Orano Rewards has no cash, monetary, or other value prior to being earned and applied in accordance with these membership Terms. Subject to applicable laws, Le Orano Rewards is not your property until applied to you and remains the sole property of Le Orano until applied under these membership Terms. Le Orano is not responsible for Rewards delivered to the wrong address through no fault of Le Orano or for errors made by third-party suppliers. All distributions and Redemption Requests are final and cannot be revoked or reversed.

Le Orano Rewards Exclusions

You will not be eligible for Le Orano Rewards in connection with reservations or transactions that do not meet the requirements of these membership Terms, including when reserving or paying via a third-party company or website. “No shows” are not eligible to receive any Le Orano Rewards, regardless of whether the Booking associated with an Offer was refundable. Changes in reservations from the original Booking may result in changes in the amount of Le Orano Rewards associated with such Booking.

If Le Orano enables Members to pay for Bookings entirely with Le Orano Rewards, such Bookings shall be ineligible for Le Orano Rewards. When a Booking is paid for partially with Le Orano Rewards and partially with cash or credit, only the portion of the Booking paid for with cash or credit is eligible for Le Orano Rewards.

Account Adjustments

Le Orano may, in its sole discretion, deduct pending Le Orano Rewards from your Le Orano account to make adjustments due to modified or cancelled Bookings. Should a Booking be cancelled or unable to proceed as determined by a Supplier, all refunds will be processed with the relevant Le Orano Rewards deducted if said Le Orano Rewards were previously distributed to Member. Any such adjustments will be made in accordance with these membership Terms, any applicable Supplier policies or terms, and any and all applicable laws, rules, and regulations.

Taxes

Depending on the tax laws of your relevant federal, state, and local jurisdictions, you may be taxed on your receipt of Le Orano Rewards. You agree that you are solely responsible for any and all applicable tax liability arising out of the consideration received in connection with Le Orano Rewards.

Fraudulent Activity

Le Orano reserves the right to investigate any purchases, transactions, activity, or interaction with the website, Bookings and travel credits offer which we believe may be an abuse of the Le Orano Rewards program. We reserve the right to delay, withhold, rescind, or cancel any past, pending, or future travel credit awards, and to terminate the account of any Member that we believe is abusing or has abused the Le Orano Rewards program. Such abuse includes, but is not limited to, cancelling or modifying Bookings after Le Orano Rewards attributable to a given Booking have been distributed. Any failure to comply with these membership Terms, any fraud or abuse relating to the accrual or receipt of Le Orano Rewards, or any misrepresentation of any information furnished to Le Orano by you or anyone acting on your behalf may result in the termination of your account and forfeiture of any accrued or pending Le Orano Rewards. Any suspected cases of fraudulent activity will be reviewed in accordance with our fraud processes, and all Le Orano decisions are final.

8. Modification of Terms

We reserve the right, in our sole discretion, to change or modify these membership Terms, the Additional Terms, or any supplemental terms, conditions, or documents referenced and incorporated herein, or any other aspect of Le Orano membership. We may do so from time to time with reasonable notice to Members, as described in this section. The updated membership Terms will be effective upon posting, or upon such later date or by such other method as specified by Le Orano. Unless otherwise stated, the updated membership Terms will apply to your participation in the Services beginning as of their effective date. If any provision in these membership Terms or any change made to these membership Terms is found to be invalid, void, or unenforceable for any reason, that original or modified provision is severable and does not affect the validity and enforceability of any remaining changes or conditions.

By continuing your membership after we change these membership Terms (and, if necessary due to materiality of changes, you have affirmatively acknowledged them), you accept the changes. If you do not wish to agree to any changes or modifications that we make during the relevant membership term, you must notify us of such decision by emailing us at SERVICE@LEORANO.COM. Le Orano will then determine whether to terminate your current membership and provide you a prorated refund or accept your rejection of the modified terms. If we accept your rejection of the modified terms, you will remain bound by those membership Terms that you had most recently accepted.

9. Modification of Services

Le Orano reserves the right to make changes to the Services, including but not limited to: (a) withdrawing, limiting, modifying, or cancelling any Product or portion of the Services, although Le Orano will make commercially reasonable efforts to maintain the value of the membership in general; (b) modifying or regulating the transferability of Products or benefits; (c) adding blackout dates; or (d) limiting the number of Products available for award redemption at any or all destinations. Le Orano may also limit the number of Le Orano Members and may temporarily or permanently discontinue registering new Members at any time and for any reason without notice.

Please note that Le Orano is not responsible for Supplier withdrawals from Le Orano, changes in Products, Supplier services, or Perks, or issues associated with the use of Products caused by the withdrawal of any Supplier. Availability of Products or Services may change over time and at any time (including during the course of any given membership term).

Le Orano benefits are void where prohibited or restricted by law.

10. Termination by Us

We reserve the right to terminate or suspend your Le Orano account, membership, access to Le Orano Rewards, or ability to use the Services, in whole or in part, at our sole discretion, for any reason or no reason, without notice or liability, if necessary to protect our interests and/or the interests of other users and/or providers of the Services. (For example, we may terminate or suspend any of the foregoing if we determine that you have misused the website.) If we terminate or suspend your account for conduct that we determine, in our discretion, violates these membership Terms, the Additional Terms, or any applicable local or federal law, regulation, or ordinance; involves fraudulent or dishonest use of the Services, theft, misconduct, or wrongdoing in connection with a specific Le Orano account, the Le Orano program more generally, or is otherwise harmful to our interests or to those of another user, we will not issue a refund. If we terminate or suspend your Le Orano account for any reason, you are not allowed to register or create a new account under your name, a borrowed or false name, or the name of a third party, even if you are acting on behalf of the third party. Our failure to insist upon or enforce your strict compliance with these membership Terms will not waive any of our rights.

Although there is no fixed termination date for the Le Orano program, we reserve the right to terminate it at any time, provided we give you 30 days’ notice. We will send any such notice by email to Members’ registered email addresses.

11. Limitation of Liability

In addition to other limitations and exclusions in the Le Orano Terms of Service, Le Orano’s total liability, whether in contract, warranty, tort (including negligence) or otherwise, will not exceed the last membership fee you paid. This limitation of liability will apply to the fullest extent permitted by law and will survive cancellation or termination of your Le Orano membership.

In no event will Le Orano, its parent(s), subsidiaries and affiliates, its licensees, and each of their respective directors, officers, employees, and agents be liable for any direct, indirect, special, exemplary, punitive, incidental or consequential damages of any kind, whether based in contract, tort or otherwise, which arise out of or are in any way connected with Le Orano or these membership terms.

Your interactions with suppliers are at your own risk. Le Orano will have no liability with respect to the acts, omissions, errors, representations, warranties, breaches or negligence of any supplier. Additionally, Le Orano is not responsible and assumes no liability for transportation, accommodation, or other services that suppliers provide or fail to provide. Le Orano is also not responsible for the terms and conditions, products, services, or membership requirements of, or any other aspects of, the programs offered by suppliers.

12. Disputes

These membership terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these membership terms or their subject matter or formation shall be governed by and construed in accordance with the law of the Commonwealth of California, USA. You hereby consent to the exclusive jurisdiction and venue of courts in California, USA and stipulate to the fairness and convenience of proceedings in such courts for all disputes, both contractual and non-contractual, arising out of or relating to the use of the services by you or any third party. You agree that all claims you may have against Le Orano, Inc. arising from or relating to the services must be heard and resolved in a court of competent subject matter jurisdiction located in the Commonwealth of California. Use of the services is unauthorized in any jurisdiction that does not give effect to all provisions of these membership terms, including, without limitation, this paragraph. Nothing in this clause shall limit the right of Le Orano, Inc. to take proceedings against you in any other court, or courts, of competent jurisdiction. The foregoing shall not apply to the extent that applicable law in your country of residence requires application of another law and/or jurisdiction – in particular, if you are using the services as a consumer – and this cannot be excluded by contract and will not be governed by the United Nations Conventions on Contracts for the International Sale of Goods, if otherwise applicable. This clause shall otherwise apply to the maximum extent allowed in your country or residence.

If any part of these membership terms is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and these membership terms’ remaining provisions shall continue in effect.

Individual Claims And Direct Damages Only

As a condition of participating in Le Orano, members agree that any and all disputes which cannot be resolved by the parties, and causes of action arising out of or in connection with this program, shall be resolved individually, without resort to any form of class action, exclusively before a federal or state court located in California having jurisdiction. Further, in any such dispute, neither Le Orano nor members will be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental, or consequential damages, including attorneys’ fees, and members further waive all rights to have damages multiplied or increased.

13. Typographical Errors

If a product is listed on our website with incorrect information or at an incorrect price due to a typographical error or an error in pricing or information provided by our suppliers, we reserve the right to refuse or cancel any orders placed for such products at our sole discretion, regardless of whether your order has been confirmed and your payment method charged. If we cancel your order and your payment method has already been charged for the purchase, we will issue a credit to your payment method for the amount of the canceled charge.

14. Supplier Terms

To enable you to purchase a Le Orano membership, Le Orano provides a platform through which you can enter into a contract with third-party suppliers (each, a “Supplier”) to purchase their products. Please note that Le Orano is not the original supplier of any product, and your contract for the purchase and supply of any product booking will be directly between you and the relevant supplier. For clarity, Le Orano, Inc. is a supplier solely for the purposes of Le Orano and not for any of Le Orano’s other services. Payment processing will vary according to the type of booking.

● For hotel bookings: When you complete a booking with a hotel supplier via Le Orano’s platform and select “pay at hotel” as your payment method, your payment will be used to secure the reservation as a guarantee. Payment information will be collected and transmitted to the supplier to complete the transaction. The collection and transmission of this payment information will be handled in accordance with our Privacy Policy. Please note that the supplier, not Le Orano, is responsible for processing your payment and fulfilling your booking. It is possible for some hotels to process payment in advance, even if you select the “pay at hotel” option.

● For other bookings: If you book a service other than a hotel and select the “pay in advance” option for payment, such as an experience, Le Orano will process your payment. However, the supplier will still fulfill your booking.

By making a booking, you agree to review and be bound by the applicable supplier’s terms and conditions, as well as any other rules of purchase, examples of which may include the supplier’s website terms, privacy policy, and product-specific terms (the “Supplier Terms“). Please note that to the extent that the supplier terms conflict with these membership terms regarding your legal relationship with Le Orano, these membership terms shall prevail. Please review the Le Orano Terms of Service for additional terms related to suppliers. You agree that Le Orano is not an agent of any supplier and that the suppliers operate independently. You also agree that Le Orano does not assume any liability, obligation, or responsibility for any supplier’s offer or promotion, and is not responsible for changes to, or discontinuance of, any products or suppliers from Le Orano, or for any effect on the accrual of Le Orano Rewards caused by such changes, discontinuance, or withdrawal.

If you have any issues related to the Le Orano program, including your membership or Le Orano Rewards, or if problems arise before or after your participation in a specific product or booking, please contact Le Orano Customer Support. However, if any issues arise during your participation in a specific product or booking, you must contact the relevant supplier directly, instead of contacting Le Orano.
